GoMiniMe — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the products, websites, and services (the "Service") provided by GoMiniMe LLC, a Wyoming limited liability company ("GoMiniMe," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you agree to these Terms for that organization and represent that you have authority to do so.
1. The Service
GoMiniMe provides an AI-powered messaging assistant platform. Depending on your plan, the Service lets you use, or provision for others, one or more AI assistants ("AI Employees") that hold conversations over supported messaging channels, along with related setup, hosting, and support. Features, plans, and pricing are described at the point of sale and may be updated from time to time.
2. Eligibility & accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information in your account, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
3. Plans, billing & refunds
Paid plans are billed as described at checkout (for example, monthly or annual subscriptions, per-line fees, and one-time setup fees). Setup fees may cover dedicated hardware and configuration provisioned specifically for you. Subscriptions renew automatically until cancelled. Payments are processed by our third-party payment processor; you authorize us and our processor to charge your payment method for all fees. Cancellations and refunds are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
4. Acceptable use & messaging compliance
The Service is a communications tool, and you are responsible for how you use it. You agree that you will not, and will not permit anyone using your account to:
- Send messages in violation of applicable law, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and similar communications, marketing, and privacy laws;
- Send messages to any person who has not provided the legally required consent to be contacted, or who has opted out;
- Use the Service to send spam, bulk unsolicited messages, or to operate at a volume or cadence that violates the terms of the underlying messaging platforms;
- Misrepresent your identity, or configure an AI assistant to impersonate a specific real person or to deny that it is an AI when a person asks;
- Transmit unlawful, fraudulent, deceptive, harassing, hateful, or infringing content, or content that harms minors;
- Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Service or its infrastructure; or
- Resell or provide access to the Service except as expressly permitted by your plan.
You are solely responsible for obtaining all consents and providing all disclosures required for your messaging, and for the content of messages sent through your account. We may suspend or terminate accounts that we reasonably believe violate this section.
5. Your content and data
You retain ownership of the content and data you submit to the Service ("Your Content"), including contact information and message content. You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service. If you provide us with data about other individuals (for example, contacts you upload for outreach), you represent that you have the legal basis and consent to do so, and, for business plans, you act as the controller of that data while we act as your processor. Our handling of personal data is described in our Privacy Policy.
6. Artificial intelligence
The Service uses artificial intelligence to generate messages and responses. AI output can be inaccurate, incomplete, or unexpected. You are responsible for reviewing and supervising the use of AI assistants in your account. The Service does not provide legal, financial, medical, or other professional advice, and AI output should not be relied upon as such.
7. Intellectual property
The Service, including all software, models, designs, and content we provide (excluding Your Content), is owned by GoMiniMe or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
8. Third-party services
The Service relies on third-party providers (for example, payment processing, AI model providers, messaging and hosting infrastructure). Your use of the Service may also be subject to those providers' terms. We are not responsible for third-party services we do not control.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any messaging channel will remain continuously available.
10. Limitation of liability
To the maximum extent permitted by law, GoMiniMe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or revenues, arising out of or relating to the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three (3) months before the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless GoMiniMe and its officers, members, and employees from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law, including messaging and privacy laws.
12. Termination
You may cancel your account at any time as described in the Refund & Cancellation Policy. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law or by a third-party provider. Provisions that by their nature should survive termination will survive.
13. Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration will be the state or federal courts located in Wyoming, and you consent to their jurisdiction.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
